Whether it was Mrs. Engles in the 2nd Grade or Prof. Reich sophomore year, amazing educators have challenged us to be better thinkers, dared us to change career paths in a single lecture, and inspired us to believe that, with a little hard work, a better future is possible.

In the spirit of recognizing amazing teachers,TBD is hosting ThanksForTeaching.Us, a space to share your thanks for those A+ profs. What began in September as a back to school campaign has become a global movement that we’d love to continue growing. Our schools are in a tough spot right now, and we think there’s no better time to bring the spotlight back on the teachers that make our classrooms thrive.Let’s be real, it’s about time we gave them a serious shout-out.

Welcome to the ThanksForTeaching.Us online innovation site. The ThanksForTeaching.Us web site, and the pages, features, forums, widgets, buttons, web properties, tools and services available on this web site (collectively, the "Web Site"), is brought to you by TBD Futures, LLC, a New York limited liability company ("we," "our" or "us"). The purpose of the Site is to provide a forum for the free sharing of stories about great teachers with the goal of forming a collection memories concerning outstanding educators as well as recognizing the positive teachers have on the world.

We own and operate this Web Site and make information, tools, forums and services available through this Web Site subject to the following Terms of Use, which constitute a legally binding agreement (this "Agreement"). By accessing or using the Web Site, you indicate your acknowledgement and acceptance of all terms and provisions of this Agreement without limitation or qualification. You have our permission to use the Web Site if you are a resident of the United States (including any of its territorial possessions) or Canada of at least eighteen (18) years of age and comply fully with all of the terms and provisions presented in this Agreement. 3. Availability and Operation of the Web Site Your access to or use of the Web Site may be interrupted at any time, for any duration of time and for any reason. We reserve the right to cancel, discontinue, modify, suspend or interrupt availability of or access to the Web Site or any portion or feature of the Web Site at our sole discretion and without prior notice.

4. Free Sharing of Content.

The Web Site is a platform intended to encourage the free sharing of ideas and stories about great educators. Therefore, all content submitted for posting on or through the Web Site is for public consumption, and you should not have any expectation that your ideas, innovations and other submissions will be treated as confidential or proprietary to you.

By posting ideas, innovations, inventions, comments, advice and other User Content (as defined in Section 6 below) on the Web Site, you agree that your fellow users of the Web Site may freely use and reproduce such content for their own internal, non-commercial purposes and may share it with others for non-commercial purposes under the grant of rights in Section 6. TBD Futures and our respective sponsors, partners and clients, do not claim ownership of such content. However, we and they also have no responsibility for protecting such content or safeguarding it against theft, infringement or misappropriation by third parties, or policing to ensure that third parties respect the sharing and use rights granted in this Agreement. WE AND THEY HAVE NO RESPONSIBILITY OR LIABILITY WITH RESPECT TO ANY CONTENT YOU POST ON THE WEB SITE, OR THIRD PARTIES' USE OF SUCH CONTENT. In addition, given the public nature of the Web Site, please do NOT submit any comments, photos or other information that you consider private, confidential or embarrassing.

9. Trademarks and Copyrights (Intellectual Property Ownership);

All other company names, marks, logos, symbols and product names on the Web Site are the trademarks, service marks or other intellectual property of their respective owners. 11. Indemnification

You agree to indemnify, defend and hold harmless us, our respective affiliates and each of their respective members, managers, principals, officers, shareholders, directors, employees, agents, contractors, clients, sponsors, business partners and service providers from and against all claims, suits, actions, losses, expenses, damages, penalties and costs, including reasonable attorneys' fees, in any way relating to or resulting from any (1) actual or alleged violation of this Agreement, (2) use of the Web Site by you or any person using your password, (3) your actual or alleged failure to comply with any applicable legal or regulatory requirements, (4) any User Content provided by you, or (5) any actual or alleged use or other activities in connection with others' User Content that exceeds the scope of the rights granted in Section 6 above.

12. Reservation of Rights

Any rights not expressly granted in this Agreement are reserved by us. We reserve the right to seek all remedies available by law and equity for any violation of this Agreement or our other rights under applicable law. We also reserve the right to notify and cooperate with appropriate law enforcement authorities in connection with investigating or prosecuting any suspected criminal acts.

13. Miscellaneous

If any portion of this Agreement is deemed unlawful, void or unenforceable by any court of competent jurisdiction, this Agreement as a whole shall not be deemed unlawful, void or unenforceable. Only that portion that is found to be unlawful, void or unenforceable will be removed from this Agreement.

No failure on our part to enforce strict performance of any part of this Agreement will constitute a waiver of any provision of, or any of our rights, under this Agreement. We shall not be responsible for any errors, failure to perform or delay in performance of any obligation hereunder due to labor disturbances, accidents, fires, floods, telecommunications or Internet failures, strikes, wars, riots, rebellions, blockades, acts of government, governmental requirements and regulations or restrictions imposed by law, acts or failures of third-party service providers or other third parties, or any other similar conditions beyond our reasonable control. You agree that no joint venture, partnership, employment or agency relationship exists between you and us or any of our affiliates as a result of this Agreement or your use of the Web Site. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. We may assign our rights and duties under this Agreement to any party at any time without notice to you.

All notices, demands and other communications hereunder shall be in writing and shall be effective upon receipt, provided that we may provide notice to you by posting announcements on the Web Site or sending an e-mail to you at any e-mail address furnished by you. Except as specified in the next sentence, all notices to us of a legal nature shall be in writing and shall be sent by certified first-class U.S. mail, return receipt requested, to: TBD Futures, LLC, 10 Jay Street, Suite 612A, Brooklyn, NY 11201. All notices regarding copyright issues shall be sent in accordance with our Copyright Policy as described above.

Except with respect to that body of law relating to conflicts of law, the laws of the United States of America and the State of New York shall govern this Agreement. The parties agree to submit to jurisdiction and venue in the State of New York, County of New York, and in the U.S. district courts located therein. This Agreement (including the Privacy Policy as posted on the Web Site) constitutes the complete agreement between you and us and supersedes all previous communications and representations or agreements, either oral or written, with respect to the subject matter hereof. TBD Futures, LLC ("TBD Futures") is committed to protecting your privacy. At the same time, you should be aware that the purpose of the Site is to provide a forum for the free sharing of stories about great teachers with the goal of forming a collection memories concerning outstanding educators as well as recognizing the positive teachers have on the world. This privacy policy tells you about our online collection, use and disclosure of information from you, including personal information. It also tells you what personal information about you will be publicly viewable on the Site (please see the section below entitled "Publicly Viewable Information"). The terms of this policy apply to all information collected by TBD Futures on the Site.

The Web Site is a platform intended to encourage the free sharing of ideas and stories about great educators. Therefore, all content submitted for posting on or through the Site is for public consumption, and you should not have any expectation that your ideas, innovations and other submissions will be treated as confidential or proprietary to you.

All of the personal information referred to in this section will be publicly viewable on the Site (collectively, "Publicly Viewable Information"). Personal information collected by TBD Futures or third parties performing services on our behalf (other than Publicly Viewable Information) may include the following: your name, username and password for the Site, your e-mail address, your account name for any third-party service (such as Google, Yahoo! or Twitter) that you use to log onto the Site, and your location (should you choose to provide it).

You may always choose not to provide personal information, but if you so choose, certain services and features of the Site may not be available to you.

Non-Personal Information Collected Through the Site

Disclosing Your Personal Information

Except as set out in this privacy policy, TBD Futures does not disclose or sell your personal information to any third parties.

Publicly Viewable Information you submit for your personal profile page or post on Interactive Areas is publicly viewable (for more information, please see the section above entitled "Publicly Viewable Information"). In addition, TBD Futures actively collects, compiles, analyzes and shares Publicly Viewable Information with its sponsors and clients for research purposes. We may also disclose your personal information to third-party service providers who perform services on our behalf. For example, we may engage other companies to host the Site, to transmit e-mail communications and/or marketing communications, to conduct audits, to provide web analytics, etc. These third-party service providers (i) shall be permitted to obtain only the personal information they need to provide the service, and (ii) must protect personal information to the same extent as TBD Futures, including not using it for any improper purpose.

We do NOT share personal information with unaffiliated third parties for their own direct marketing use. However, you should be aware that these and other third parties visiting the Site may see your Publicly Viewable Information and may use it for solicitation persons. In addition, from time to time, we may introduce certain users and/or commentators on the Site, to our respective clients and sponsors for purposes of facilitating workshops and other collaborations. However, we have no obligation to do so, and any selections will be made in our sole discretion.
